1. Introduction
Welcome to Stemfra AI. These Terms form an agreement between you and STEMFRA LLC, a Delaware limited liability company (Delaware File Number 10538503), for the Stemfra AI website and workspace. Individuals, freelancers and organisations may use the service. Our managed websites and custom software services are separate products governed by their own terms and agreements at stemfra.com. Using Stemfra AI means you agree to these Terms.
2. Use of the Website
You agree to use our website and services in a lawful manner and in accordance with these Terms. You must not:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to our systems or networks
- Interfere with the proper functioning of the website
- Transmit any harmful or malicious code
- Collect or harvest information about other users without consent
- Impersonate Stemfra or any other person or entity
We reserve the right to terminate or suspend access to our services for any violation of these terms.
3. Intellectual Property
All content, technologies, trademarks, logos, and intellectual property displayed on this website are the property of Stemfra LLC or its affiliated products and services.
You may not use, reproduce, modify, distribute, or create derivative works from any content on this website without our express written permission. This includes software, designs, text, graphics, logos, and other materials.
The Stemfra name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stemfra or its affiliates. You must not use such marks without our prior written permission.
4. Stemfra AI
Stemfra AI provides a workspace for AI-assisted conversations, documents, customer enquiries and prospect research. Features and connected actions depend on availability, permissions and your selected plan. A subscription does not include custom software development or a managed website.
Online checkout is disabled. Contact support to discuss a plan. An enquiry does not activate a subscription or authorise a charge. Pricing, the billing period and applicable taxes must be confirmed before paid activation; published prices do not change an existing agreement.
4a. Your Account
You must be at least 18 years old. You may use Stemfra AI as an individual, freelancer or on behalf of an organisation you are authorised to represent. A registered business is not required. You are responsible for keeping your login details confidential and for all activity under your account. Tell us at once at [email protected] if you believe your account has been compromised. We may suspend or close accounts that provide false information, are used outside the supported scope of the selected product, or breach these Terms.
4b. Your content and workspace
You retain your rights in the material you provide. You permit us to store and process it, including through service providers, to operate the features you use. You are responsible for having permission to upload documents, connect accounts and process other people's information. Our intellectual-property restrictions do not transfer ownership of your uploaded content to us.
Workspace owners manage invitations, billing and connections. Members access shared work; membership does not grant access to another user's private documents. Starter includes 5 seats, Growth 10 and Business 25. The owner and pending invitations count towards the limit. Each member uses their own login.
You can request account closure and information about data export or deletion at [email protected]. Cancelling renewal does not itself delete your account or content. Retention and privacy requests are explained in our Privacy Policy.
4c. AI assistance
AI generates answers and drafts using the information available to it. Outputs may be inaccurate, incomplete or similar to outputs provided to others. Review them before relying on or sharing them. Connected actions depend on the permissions and approval controls of each feature; enabling an integration does not guarantee that every action requires a new confirmation. Keep the information used by customer-facing assistants accurate. AI does not replace professional advice or your responsibility for decisions.
Stemfra AI: acceptable use and review
Use Stemfra AI only with content, accounts and contact information you have permission to use. Review generated answers, documents and proposed actions before relying on them. Research and drafting do not establish consent to contact someone. You remain responsible for the lawful basis and permissions for any outreach.
Do not use Stemfra AI for impersonation, spam, deceptive outreach, unlawful collection of personal information, discriminatory profiling, or automated decisions about a person's employment, education, credit, housing or access to essential services. Do not bypass approval steps or other access controls. AI assistance is not a substitute for qualified professional advice.
Report suspected misuse or a disputed restriction to [email protected]. Include enough context for review without sending passwords or unnecessary sensitive information. We may restrict access for violations; you can contact support to request a review. These rules do not represent a guarantee that every harmful output will be detected.
5. Pricing and billing
Starter is US$100/month or US$1,000/year, Growth US$200/month or US$2,000/year, and Business US$300/month or US$3,000/year. Annual prices cover twelve months and are paid upfront, saving approximately 16.7% compared with twelve monthly payments. Any monthly equivalent shown for an annual plan is a comparison, not a monthly charge.
Monthly allowances are 2,000, 5,000 and 10,000 credits respectively, shared within the workspace. Annual billing does not turn these into an upfront annual credit balance. Monthly credits reset without rollover. Applicable taxes and any separately agreed charges are confirmed before payment. Online checkout remains disabled.
For a paid recurring subscription, the renewal period and charges must be confirmed at activation. We give at least 30 days' email notice of changes to recurring fees; changes apply to future renewal periods, not an already-paid period.
6. Cancellation and refunds
For paid plans, workspace owners can cancel renewal in Billing using Cancel subscription, without contacting support. Cancel before the next renewal. Access continues until the end of the paid monthly or annual period. Cancellation does not automatically issue a refund or delete your account.
Payments are generally non-refundable, except where required by law, agreed with you or approved under our Cancellation and Refund Policy. That policy explains billing errors, refund requests and mandatory consumer rights. A refund request does not itself cancel renewal.
7. Access and restrictions
We may restrict access for misuse, security risks or breaches of these Terms. You can contact [email protected] to request a review. Nothing in these Terms excludes rights or remedies that applicable law does not allow us to exclude.
8. Disclaimer of Warranties
Our website, services, and software products are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Your use of our services is at your sole risk.
9. Limitation of Liability
To the fullest extent permitted by law, Stemfra and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the website or services.
This includes, but is not limited to, damages for loss of profits, data, use, goodwill, or other intangible losses resulting from:
- Your access to or use of (or inability to access or use) the website
- Any information or content obtained from the website
- Unauthorized access to or alteration of your data or communications
- Any other matter relating to the website or services
The information provided on this website is for general informational purposes and should not be relied upon as financial, legal, or investment advice.
10. Governing Law & Dispute Resolution
These Terms are governed by Delaware law, subject to mandatory consumer protections that apply where you live. The dispute provisions below do not remove any right to bring a claim in a court or use a remedy that applicable law guarantees you.
Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation within 30 days. If unresolved, it shall be submitted to binding arbitration under the American Arbitration Association (AAA) rules, conducted in Dover, Delaware or remotely where applicable.
11. Changes to Terms
Stemfra reserves the right to modify or update these Terms of Service at any time at our sole discretion. We will notify users of material changes by updating the "Last updated" date at the top of this page.
Your continued use of the website and services after any changes to these Terms constitutes your acceptance of the new terms. We encourage you to review these Terms periodically to stay informed about our policies.
If you do not agree to the modified terms, you should discontinue your use of the website and services.
